Terms and Conditions of Use

These Terms and Conditions (“Agreement”) govern your access to and use of services provided by

Kaimuki Solutions, a division of Hanasprings LLC (“Company,” “we,” or “us”) through our white-labeled SaaS platform (“Service”).

By signing up, accessing, or using the Service, you agree to be bound by this Agreement.

1. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into a binding agreement. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

2. Services Provided

The Service includes CRM, marketing automation, communication tools, and other related features. The platform is provided through white-label access to Go High Level, and we act as a reseller or branding partner. You understand and agree that the core functionalities are built and maintained by a third-party vendor. We may modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. Fees and Payment

Subscription fees are charged on a monthly or annual basis depending on your selected plan.All payments must be made in U.S. Dollars using accepted payment methods. We reserve the right to modify fees with prior notice. Failure to pay may result in account suspension or termination.

4. Acceptable Use Policy

You agree not to:

Use the Service for unlawful, harmful, or fraudulent activities; Infringe on the intellectual property rights of others; Transmit spam or unsolicited messages;Interfere with or disrupt the operation of the platform. Attempt to gain unauthorized access to any part of the Service.Infringe on any intellectual property or privacy rights of others.

5. Account Registration and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials.

You are liable for all activities that occur under your account.

You agree to provide accurate and complete information during registration and to keep your account information up to date.

6.Third-Party Integrations

The Service may include features that integrate with third-party services. We are not responsible for the functionality or security of third-party systems. Your use of those services is subject to their own terms and conditions.

7. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your access will be disabled, and we may delete your data from our systems.

8. Termination

The Service is provided “as is” and “as available.”

We do not guarantee that the Service will be error-free or uninterrupted.

To the maximum extent permitted by law, we disclaim all warranties, express or implied.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claim, liability, or expense arising from your use of the Service or your breach of this Agreement.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and store your information.

12. Changes to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website and effective upon posting. Continued use of the Service constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the

State of Hawaii, United States, without regard to its conflict of laws rules.

Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Honolulu County, Hawaii, and you hereby consent to the jurisdiction of such courts.

14. Entire Agreement

This Agreement, along with our Privacy Policy, constitutes the entire agreement between you and the Company regarding the use of the Service and supersedes all prior agreements.
